These terms govern the help center themes published by SCREENDESK SAS, registered in France under SIREN 920 766 383, with its registered office at 7 allée du Long, 26500 Bourg-lès-Valence, France ("Screendesk", "we"), including Northline. They apply to the organization that installs or buys a theme ("you"). Contact: support@screendesk.io.

You get our themes through the Zendesk Marketplace. Zendesk's own terms govern the Marketplace, the trial, payment and billing. These terms cover the theme itself.

1. Licenses

A theme comes with one of two licenses, as listed on the Marketplace.

Standard license. You may install the theme on every help center in the Zendesk account that bought it, configure it through its settings, and use it for as long as you like. The license does not include access to the theme's code.

Developer license. Everything in the standard license, plus the right to view and change the theme's code (templates, styles, scripts and images) for use in that same Zendesk account.

Both licenses are one-time purchases, are non-exclusive, and cannot be transferred except together with the Zendesk account, for example after a merger.

2. Trial

Zendesk lets you try a theme for 14 days before buying. During the trial you may preview the theme and change its settings in your account, but not make it live or edit its code.

3. What you may not do

  • Sell, sublicense, share or give the theme, or a modified version of it, to anyone else, or offer it as a theme, template or starter kit.
  • Install it on a Zendesk account that has no license of its own.
  • Remove the copyright and license notices in the theme's files.

An agency or freelancer may install and customize a theme for a client, on the client's account and under the client's license.

4. Open-source parts

Our themes include open-source components under their own licenses, listed in the NOTICE and LICENSE files of the theme. Northline is built on Zendesk's Copenhagen theme, licensed under the Apache License 2.0, and uses fonts under the SIL Open Font License. Nothing in these terms limits the rights those licenses give you over those components.

5. Updates and support

Updates are free for as long as we sell the theme. Installations you haven't edited can be updated through Zendesk; if you changed the code under a developer license, you apply updates yourself.

We answer questions about installing and configuring the theme, and fix reproducible bugs in its current version, by email at support@screendesk.io. Code you changed is yours to maintain, though we'll gladly point you in the right direction.

6. Your help center and data

The theme runs in your Zendesk help center. It sends nothing to Screendesk and contains no tracking or analytics. Services you choose to use through the theme's settings, such as Google Fonts, an Atlassian Statuspage, a video host or a Screendesk recording link, are provided by those services under their own terms.

Your help center content remains yours. If you send us feedback or suggestions, we may use them to improve our themes without obligation to you.

7. Ownership

Screendesk owns the themes, their design and their code, apart from the open-source parts described in section 4. The license gives you the rights described above and no others.

8. Warranty

We build our themes to work with Zendesk's current help center platform, in current browsers, and to follow the description on the Marketplace. Zendesk may change its platform; we aim to update our themes when it does. Beyond that, and to the extent the law allows, the theme is provided as it is, without other warranties.

9. Liability

Our total liability for any claim relating to a theme is limited to the amount you paid for its license. Neither party is liable for indirect losses such as lost profits or lost data. Nothing limits liability that cannot lawfully be limited, including fraud, gross negligence, or death or personal injury.

10. End of the license

The license lasts indefinitely. It ends if you seriously breach these terms and don't remedy the breach within 30 days of our written notice. You must then stop using the theme and remove it from your account.

11. Law and disputes

French law governs, excluding conflict-of-law rules. First try in good faith to resolve a dispute through business contacts for 30 days. For disputes between parties acting as merchants, the competent courts within the jurisdiction of Screendesk's registered office have exclusive jurisdiction, subject to mandatory law. Where this clause cannot legally apply, the otherwise competent courts retain jurisdiction.

12. Changes

We may update these terms. The version published when you bought a license applies to that license; later changes apply only if they don't reduce the rights you bought, or once you accept them.
